Memorandum of Understanding

Between Silverlake and Evergreen Bride

This Memorandum of Understanding (“MOU”) is entered into on this 30th day of June, 2025, by and between Silverlake Design Studio and Evergreen Bride, located at 1022 Oak Street, Conway, AR.

1. Purpose

This MOU outlines the agreement between Silverlake and Evergreen Bride regarding the use of venue space for Silverlake’s 10th Birthday Party on September 4, 2025.

2. Event Details

● Event Date: Thursday, September 4, 2025

● Venue Access: 2:00 PM – 8:00 PM (for setup and teardown)

● Event Time: 5:00 PM – 7:00 PM

● Location: 1022 Oak Street, Conway, AR

● Total Cost: $1,500

3. Inclusions

The total cost of $1,500 includes:

● Exclusive use of the Evergreen Bride venue from 2:00 PM to 8:00 PM.

● Up to 100 drink tickets provided for Silverlake to distribute to guests. Drinks will be size 16 oz. Cold/iced drinks will be served in custom cups provided by Silverlake, hot drinks will be served in disposable cups provided by Evergreen Bride. Unused drink tickets will be credited to Silverlake on a gift card at $5 each, to be issued by Evergreen Bride within 10 business days of the event.

● Materials for up to 50 DIY mini floral desk arrangements, with mini vessels provided by Silverlake and floral materials provided by Evergreen Bride. Guests will assemble these arrangements during the event. No credit will be issued for unused materials.

4. Additional Options

● If demand exceeds the 50 prepaid DIY arrangements, Evergreen Bride may offer additional mini desk arrangements directly to guests at retail value, subject to availability.

● Additional drinks may be purchased during the event at a rate of $5 per drink.

5. Venue Use & Customization

Silverlake may:

● Rearrange tables and furnishings as needed, provided no damage occurs.

● Bring in additional food or beverages or their choice to be served at the event. 

● Hang lightweight signage using fishing wire or other non-damaging methods.

● Apply a temporary vinyl decal to an undecorated exterior window; the decal must be removed without damage or residue.

● Place directional signage on nearby sidewalks, to be removed promptly after the event.

6. Payment Terms

Silverlake agrees to pay the total fee of $1,500 as follows:

● Full amount is due upon signing of this MOU to book the date and ensure proper ordering of florals in advance

7. Rescheduling & Cancellation

● In the event of unforeseeable emergency circumstances or severe weather, Evergreen Bride agrees to offer a rescheduled date within 60 days of the original event date at no additional charge.

● If Silverlake cancels for any reason not covered above: ○ More than 30 days prior to the event: event fee is refundable minus a $100 administrative fee.

○ Less than 30 days prior to the event: 50% of the total amount is non-refundable.

8. Liability

Silverlake assumes responsibility for any damage caused by its team, vendors, or guests. Evergreen Bride is not liable for any injury, loss, or damages occurring during the event.
